Curspace shall use reasonable efforts consistent with prevailing industry standards to maintain the Services in a manner which minimizes errors and interruptions in the Services and shall perform services in a professional and workmanlike manner. Services may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance, either by Curspace or by third-party providers, or because of other causes beyond Curspace's reasonable control, but Curspace shall use reasonable efforts to provide advance notice in writing or by e-mail of any scheduled service disruption. However, Curspace does not warrant that the services will be uninterrupted or error-free; nor does it make any warranty as to the results that may be obtained from the use of its websites. Except as expressedly set forth in this section, the websites and other services are provided "as is" and Curspace disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement.
Notwithstanding anything to the contracty, except for bodily injury of a person, Curspace and its suppliers (including but not limited to all equipment and technology suppliers), officers, affliates, representatives, contractors, and emplyees shall not be responsible or liable with respect to any subject matter of this Agreement or Terms of Service related thereto under any contract, negligence, strict liability or other theory: (A) for error of interruption of use or for loss or inaccuracy or corruption of data or cost of procurement of substitute goods, services or technology of loss of business; (B) for any indirect, exemplary, incidental, special or consequential damages; (C) for any matter beyond Curspace's reasonable control; OR (D) for anyfor any amounts taht, together with amounts associated with all other claims, exceed the fees paid by the customer to Curspace for services under this Agreement in the 12 months prior to the act that gave rise to the liability, in each case, whether or not Curspace has been advised of the possibility of such damages.
By supplying Curspace with videos or other content, you acknowledge that you have read, understand and agree to the following terms:
Voluntary Participation with No Compensation: you have volunteered for certain research studies (the "Study") and understand that you will waive any and all compensation (i.e. you will receive no compensation) to discuss experiences, opinions and ideas related to certain subjects, products, or services in connection with the Study. This Research Agreement does not create, intend to create, nor shall it be construed to create an employer-employee relationship, joint venture, partnership, association, or other affiliation between you and Curspace Inc. ("Curspace"). Any opinions or ideas expressed by you in conjunction with this Study are the property of Curspace and/or their client and may be used, displayed, reproduced, in whole or in part, for any purpose without compensation to you. Any purchases, travel, other actions you may take so that you are able or qualified to participate in the Study is outside the scope of the Study and this Research Agreement will be undertaken at your own risk, liability, and expense.
In-Person Observation: you understand that during the course of the Study, you may be asked to visit specified locations. You will be interviewed on your own or in a group about your opinions and experiences. You acknowledge and consent that the researcher(s) may observe you, whether in person or remotely, while on the interviewing premises, during interviews, before, during or after visits to 3rd party locations, when using websites, apps and mobile device(s), and that the researcher(s) will be able to see and/or hear everything you do during the course of the Study.
Recording: you understand that all or portions of this Study may be audio and/or video recorded. By giving Curspace the recordings, you consent to such recordings. These recordings and images will become the property of Curspace and/or its client.
Confidentiality: "Confidential Information" means any and all non-public information furnished, disclosed, communicated or otherwise made available, in whatever form or medium (regardless of whether tangible, intangible, visual, audio or oral), by Curspace, its clients and any participant(s) in the Study. Confidential Information includes but is not limited to non-public information regarding website designs, business processes, ideas, techniques, know-how, processes, applications, technology models, prototypes, sketches and drawings related to current, future and proposed technologies, products and/or services of Curspace or its clients, and any non-public information regarding the Study including research, development, design details, specifications, marketing plans and information regarding third parties. The party receiving the Confidential Information is the "Receiving Party" and the party disclosing such Confidential Information is the "Disclosing Party". The Receiving Party agrees to: (a) use best efforts to protect the confidentiality of the other’s Confidential Information; (b) use best efforts to prevent disclosure of any of the Confidential Information to anyone without the prior written consent of the Disclosing Party. You understand and agree that the obligation to hold Confidential Information in confidence as described in this Section survives perpetually.
If any provision of this Agreement is held in whole or in part to be unenforceable for any reason, the remainder of that provision and of the entire Agreement will be severable and remain in effect. This Agreement may be modified at any time by Curspace.
In the event of any dispute, users of this website hereto consents not to bring any action to any court other than a federal court sitting in the State of California or a California state court. The Agreement shall be governed by and be construed in accordance with the laws of the State of California without regard to its conflict-of-law principles.
